A PURCHASE WILL NOT IMPROVE YOUR CHANCES OF WINNING

1. ELIGIBILITY: The Nutrition Plan Sweepstakes (“Sweepstakes”) is open only to legal residents who are 18 years of age or older as of date of entry and living in the 50 United States and the District of Columbia, excluding Hawaii, Alaska, Puerto Rico, California, Colorado, Louisiana, Minneapolis, New Jersey, Nevada, Maine and Kansas. For purposes of these Official Rules, Sweepstakes Entities shall mean fairlife, LLC (“Sponsor”) and parent companies, subsidiaries, affiliates, advertising/marketing agencies and their respective directors, managers, officers, employees or agencies, partners, and prize suppliers. By entering the Sweepstakes, participants (“Entrants”) are bound by and agree to these Official Rules. All federal, state, and local laws and regulations apply. Void where prohibited by law.

 

2. TO ENTER: No purchase is necessary and a purchase does not increase chances of winning. The Sweepstakes begin 12:01 A.M., EST on March 8, 2021 and end 11:59 P.M., EST on March 30, 2021, (“Sweepstakes Period”). During the Sweepstakes Period, the Sweepstakes may be entered by submitting an appropriate photo of Entrant’s kitchen pantry and a short caption detailing Entrant’s healthy eating goals during National Nutrition Month via the Sponsor’s website (https://fairlife.com/sweepstakes/). Limit one (1) entry per person/email address during the Sweepstakes Period. All entries become the property of Sponsor and will not be acknowledged or returned. Sponsor will not be responsible for incomplete, late, lost, misdirected, illegible, or late entries.

 

3. PRIZES: One (1) Grand Prize Winner will be selected to win an in-person pantry upgrade with home organization brand Horderly (inclusive of all materials such as bins, groceries, etc.), and five (5) private consultations with a nutritionist of Sponsor’s choice to advise on grocery selection. Winner will also receive a year-long supply of fairlife nutrition plan product, valued at $400, along with up to $1,000 in the form of a gift card to a preferred local supermarket, to be spent on groceries based on nutritionist’s recommendations. Winner must be available at their home for the in-person pantry upgrade from Horderly between March 30, 2021 and April 9, 2021. If Winner is unavailable those dates, he/she will forfeit the prize without compensation and Sponsor reserves the right to randomly select an alternate winner from among the remaining eligible Entrants in the Sweepstakes, time permitting. Prizes are non-transferable and non-refundable, and no substitutions by Entrants will be permitted. The approximate retail value (“ARV”) of the grand prize is $6,000. Up to ten (10) additional winners will also be selected to win a year-long supply of fairlife nutrition plan product, valued at $400, and a consultation of up to one hour with a nutritionist of Sponsor’s choice. The approximate retail value of this prize (“ARV”) is $850. Winners are solely responsible for all other expenses not specifically set forth herein and in no event will more than the stated number of prizes be awarded.Prizes are awarded “as is” with no warranty or guarantee, either express or implied by Sponsor.  No cash substitution, assignment, or transfer of any Prize is permitted. In the event a Prize is unavailable, Sponsor reserves the right to substitute a prize of equal or greater value.

 

4. SELECTION OF WINNERS: Winners will be selected from among all eligible entries with Sponsor’s discretion, approximately one (1) day after the Sweepstakes Period end date listed above. The selection will be conducted by the Sponsor, whose decisions are final on all matters relating to the results. Odds of winning depend on the number of total eligible entries received. Sponsor’s decisions are final and binding on all matters related to this Sweepstakes.

 

5. WINNER NOTIFICATION: Potential winners will be contacted via email and must respond to the email to confirm eligibility and grand prize winner must provide a valid home address for the pantry upgrade to take place within (2) days or prize may be forfeited. The Winner is responsible for all federal, state and local taxes, if applicable. In addition, Sponsor will require winner(s) to complete, sign, and return a witnessed statement of Eligibility/Liability Release/Publicity Release forms, and other applicable documents, which may require Winner to provide social security number, within two (2) days of the date of the notification. At Sponsor’s discretion, winners may be required to produce a picture or some other form of proper identification to claim any prize. If a Winner cannot be contacted, fails to timely claim the prize, is disqualified for any reason, fails to timely execute and return any required forms, or if the prize notification is returned as undeliverable, an alternate winner will be selected from all remaining eligible entries at the Sponsor’s discretion. Grand Prize winner will receive an IRS Form 1099 reflecting the actual value of the prize. Sponsor recommends that the Grand Prize winner review these implications with his or her legal/tax advisor to determine potential tax liability, if any, in connection with receiving a prize as part of this Sweepstakes.

 

6. GENERAL RULES: The winners agree to indemnify and hold harmless and waive any and all claims of liability of any kind whatsoever against the Sweepstakes Entities. Claims may not be resolved through any form of class action. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Sweepstakes materials and the terms and conditions of the Official Rules, the Official Rules shall prevail, govern and control.  All material submitted becomes the sole property of Sponsor and will not be returned.  Sweepstakes Entities are not responsible for any typographical or other error in the printing of the offer, administration of the Sweepstakes or in the announcement of the prize.  Sweepstakes Entities assume no responsibility for undeliverable e-mails resulting from any form of active or passive e-mail filtering by a user’s Internet service provider and/or e-mail client or for insufficient space in user’s e-mail account to receive e-mail.Proof of submitting entries will not be deemed to be proof of receipt by Sponsor. If an Entrant submits more than the stated number of entries permitted, and/or if the Sponsor suspects that an entrant attempted to obtain additional entries by using multiple addresses or any other method, all entries submitted by the entrant may be declared null and void. Any entries which are suspected of being fraudulent (including those using robotic, automatic, programmed or similar methods of participation) will be disqualified, based on determinations made solely by the Sponsor. Any person who supplies false information, obtains entries by fraudulent means, or is otherwise determined to be in violation of these rules in an attempt to obtain any prize will forfeit any prize won and will be prosecuted to the fullest extent of the law. Consumer data will not be shared and will be used for the Sweepstakes and prize fulfillment purposes only.Sweepstakes Entities are not responsible for technical, hardware, software or electronic malfunctions of any kind, lost or unavailable network connections, or failed, incorrect, incomplete, inaccurate, garbled or delayed electronic communications, or by any of the equipment or programming associated with or utilized in this Sweepstakes that may limit the ability to play or participate, or by any human error that may occur in the processing of the entries in this Sweepstakes. If for any reason, (including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other cause beyond the control of the Sweepstakes Entities, that corrupts or affects the administration, security, fairness, integrity, or proper conduct of this Sweepstakes), the electronic portion of the Sweepstakes is not capable of being conducted as described in these rules, Sponsor shall have the right, at its sole discretion, to cancel, terminate, modify or suspend the Sweepstakes. In the event of termination, a notice will be posted online.Entrants agree to be bound by these Official Rules and the decisions of the judges. The Sweepstakes Entities do not make any warranty, representation or guarantee, express or implied, in fact or in law, relative to the use of the prizes including, without limitation, quality, merchantability and fitness for a particular purpose.

 

7. CONSENT: Entrant consents to the use of Entrant’s name, image, pantry image, likeness, statements about the Sweepstakes, and biographical information for news, publicity, information, trade, advertising, public relations, and promotional purposes, without any further compensation, notice, review, or consent. By entering this content, Entrant represents and warrants that the entry is an original work of authorship, and does not violate any third party’s proprietary or intellectual property rights. If an entry infringes upon the intellectual property right of another, Entrant will be disqualified at the sole discretion of Sponsor. If the content of the entry is claimed to constitute infringement of any proprietary or intellectual proprietary rights of any third party, Entrant shall, at Entrant’s sole expense, defend or settle against such claims.

 

8. PRIVACY: Sponsor is committed to ensuring that privacy is protected. All Entrants consent that any personal information (ex. contact information, address, phone number, email address, etc.) provided may be collected and used in connection with administering the Sweepstakes, including, but not limited to, contacting and announcing any winners and prize fulfillment. Additionally, use of information provided by Entrants will be governed by the privacy policy available at http://fairlife.com/privacy-policy/.

 

9. DISPUTES: ENTRANTS/WINNER AGREE THAT: ALL ISSUES AND QUESTIONS CONCERNING THE CONSTRUCTION, VALIDITY, INTERPRETATION AND ENFORCEABILITY OF THE SWEEPSTAKES OR THE RIGHTS AND OBLIGATIONS OF ENTRANTS OR SPONSOR IN CONNECTION WITH THE SWEEPSTAKES SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE INTERNAL LAWS OF THE STATE OF ILLINOIS, U.S.A., WITHOUT GIVING EFFECT TO ANY CHOICE OF LAW OF CONFLICT OF LAW RULES OR PROVISIONS THAT WOULD CAUSE THE APPLICATION OF ANY OTHER LAWS. Entrants/winner are solely responsible for compliance with all applicable laws, rules and regulations including but not limited to tax and similar reporting obligations imposed by federal, state and local authorities. As a condition of participating in the Sweepstakes, each entrant/winner agrees that in any and all disputes that cannot be resolved between the parties and in any causes of action arising out of or connected with the Sweepstakes, the exclusive procedure for resolving the dispute shall be arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules before one arbitrator in Chicago, Illinois. Judgment on the award rendered by the arbitrator may be entered in any court with jurisdiction. The arbitrator shall be selected from the AAA’s large, complex case panel. Absent good cause or the parties’ agreement, the award shall be rendered within six months of the arbitrator’s selection. The arbitrator shall award reasonable attorneys’ fees and costs to the prevailing party. Except as may be required by law, neither party nor the arbitrator may disclose the existence, contents, or results of anything related to the arbitration, including but not limited to pleadings, motions, briefs, discovery, depositions, hearings, or award without all the parties’ prior written consent. The only exception to the exclusive procedure of arbitration is that either party may bring in court an action for injunctive relief pending arbitration. Each party consents to personal jurisdiction and venue in the state or federal courts in Chicago, Illinois, which shall be the exclusive venue for any court action between the parties.FURTHER, IN ANY SUCH DISPUTE, UNDER NO CIRCUMSTANCES WILL ENTRANT/WINNER BE PERMITTED TO OBTAIN AWARDS FOR AND HEREBY WAIVES ALL RIGHTS TO CLAIM PUNITIVE; INCIDENTAL; OR CONSEQUENTIAL DAMAGES, INCLUDING REASONABLE ATTORNEYS’  FEES, AND ENTRANT/WINNER FURTHER WAIVES ALL RIGHTS TO HAVE DAMAGES MULTIPLIED OR INCREASED.
